Consumers this year will be watching for a big change in Thailand's retail business, especially in the hypermarket segment, after France-based Groupe Casino, the majority shareholder of Big C Supercenter Plc, won the contest to acquire the Thai operations of rival Carrefour in September last year.
The acquisition of Carrefour's 42 stores at a cost of 35.5 billion baht will enlarge the Big C chain to 103 outlets and bring it close to the 116 hypermarkets run by the market leader, UK-based Tesco Lotus.
Though Big C has not announced in detail its plans for the Carrefour store, intense competition is foreseen. In many locations in the capital, Tesco and Carrefour outlets are located within a block of each other.
Moreover, retail chains in other segments, especially those that offer foods, may feel some effects. Tops supermarkets and 7-Eleven convenience stores, for example, are preparing to guard their market shares and fight back against the two remaining hypermarket chains in their own ways.
Product suppliers are worried too, as Big C's expanded size will give it more bargaining power. Small suppliers fear that their costs of selling products to hypermarkets will be higher. Some products are expected to no longer appear on the shelves as their producers have weak financial status.
In any case, the rivalry between Big C and Tesco is shaping up as one that will rival those between mobile operators AIS and DTAC, or soft-drink companies Coke and Pepsi, for intensity.
On the other hand, it should be good for the whole retail industry as Big C would challenge the decade-long dominance of Tesco Lotus and consumers should stand to gain from heavy competition. Both chains will play on pricing to draw more shoppers.
Advertising agencies will probably get a windfall too as Big C will have to spend a lot of money on rebranding and store renovation to convert the Carrefour outlets to its brand.
However, some marketing experts fear that with only two chains dominating the market, there could be less incentive for them to compete and consumers would face price collusion and poor services. Additionally, it would be even harder for new Thai retailers to enter the business in the future.

BIG C เปิดแผนรุกสุดตัว ปูพรมสาขาชน TESCO
แนว รบค้าปลีกสะเทือน "บิ๊กซี" เปิดแผนปีหน้าไล่บี้ยอดขาย "เทสโก้ โลตัส" ไม่ลดละ เร่งรีโนเวตปรับสาขาคาร์ฟูร์ที่เพิ่งชนะประมูลแปลงโฉมเป็นบิ๊กซี ส่งสาขาขนาดเล็ก "มินิ บิ๊กซี-บิ๊กซี จูเนียร์" เป็นหัวหอก มั่นใจดันยอดขายก้าวกระโดดทะลุแสนล้าน ด้านเทสโก้ โลตัส บลัฟกลับ เฉพาะปีหน้าเทงบฯลงทุนถึง 7 พันล้าน
หลัง ชนะประมูลซื้อสาขาคาร์ฟูร์ในเมืองไทยกว่า 1 เดือน ล่าสุดแนวทางการรุกตลาดค้าปลีกของบิ๊กซี มีความชัดเจนว่า ในปีหน้า บิ๊กซีจะทยอยปรับเปลี่ยนสาขาของคาร์ฟูร์มาเป็นบิ๊กซี ควบคู่กับการให้ความสำคัญกับการขยายสาขาขนาดเล็ก เพื่อไล่จี้เทสโก้ โลตัส แนวทางดังกล่าวคาดกันว่าจะทำให้การแข่งขันของธุรกิจค้าปลีกกลุ่มนี้เข้มข้น ในทุกมิติ ทั้งราคาขายปลีกและการใช้อำนาจต่อรองกับซัพพลายเออร์ผู้ผลิตและจำหน่าย สินค้า
นาย อีฟ เบรบ็อง ประธานเจ้าหน้าที่บริหารและกรรมการผู้จัดการใหญ่ บริษัท บิ๊กซี ซูเปอร์เซ็นเตอร์ จำกัด (มหาชน) กล่าวถึงแนวทางการดำเนินธุรกิจในปีหน้าว่า จะเน้นไปที่การควบรวมสาขากับคาร์ฟูร์ โดยจะทยอยปรับเปลี่ยนสาขาของคาร์ฟูร์มาเป็นบิ๊กซี ควบคู่กับการขยายสาขาขนาดใหญ่ บิ๊กซี จะให้ความสำคัญกับการเปิดสาขาขนาดเล็ก ทั้งมินิ บิ๊กซี ที่เป็นรูปแบบของคอนวีเนียนสโตร์ และบิ๊กซี จูเนียร์ ที่เป็นซูเปอร์มาร์เก็ตประมาณ 2,000 ตร.ม.
"ช่วง 1-2 ปีที่ผ่านมา ภาพรวมตลาดค้าปลีกมีการเติบโตไม่มากนัก แต่จากปัญหาการเมืองที่เริ่มคลี่คลายและเศรษฐกิจฟื้นตัวดีขึ้น มั่นใจว่าภาพรวมปีหน้าจะดีขึ้นตามลำดับ"
การ เพิ่มสาขาขนาดเล็กที่เกิดขึ้น สอดคล้องกับ นายประพันธ์ เอี่ยมรุ่งโรจน์ รองประธานผู้บริหาร ฝ่ายพัฒนาธุรกิจ บิ๊กซี ที่กล่าวไว้ก่อนหน้านี้ว่า ไตรมาส 2 ที่ผ่านมาได้มีการปรับรูปแบบและโครงสร้างการจัดการของสาขาขนาดเล็ก รวมถึงการตั้งทีมผู้บริหารต่างชาติเป็นผู้ดูแลโดยเฉพาะ ส่งผลให้ยอดขายสาขาขนาดเล็กบางสาขามีการเติบโตเพิ่มขึ้น 40-50%
ขณะ ที่นางสาวจริยา จิราธิวัฒน์ รองประธานฝ่ายการตลาดและการสื่อสาร บิ๊กซี เปิดเผยไว้ก่อนที่การเทกโอเวอร์ คาร์ฟูร์จะเกิดขึ้นว่า ภายใน 3 ปีบริษัทจะเดินหน้าลงทุนครั้งใหญ่รวม 6,000 ล้านบาท เพื่อเปิดสาขาใหม่ 12 สาขา เฉพาะปี 2553 ใช้งบฯ 2,000 ล้านบาท เน้นเปิดในต่างจังหวัดเป็นหลัก
รายงาน ข่าวจากบิ๊กซี ซูเปอร์เซ็นเตอร์ ระบุว่า การซื้อสาขาของคาร์ฟูร์ ประเทศไทย ทั้ง 42 แห่ง และเมื่อผนวกรวมสาขาเดิมของบิ๊กซีอีก 69 สาขา จะทำให้บิ๊กซีมีสาขาโดยเฉพาะในกรุงเทพฯและปริมณฑลเพิ่มขึ้นเป็นเท่าตัว ส่งผลให้เติบโตอย่างก้าวกระโดด
สา ขาของคาร์ฟูร์ทั้ง 42 แห่ง แบ่งเป็นไฮเปอร์มาร์เก็ต 34 สาขา ในจำนวนนี้มีพื้นที่ให้ร้านค้าเช่า 37 สาขา เมื่อรวมกับไฮเปอร์มาร์เก็ตของบิ๊กซี ทำให้มีสาขามากถึง 103 สาขา
ใน ส่วนสาขาขนาดเล็กซึ่งมีอยู่ 3 รูปแบบ ได้แก่ 1.มินิ บิ๊กซี เป็นรูปแบบคอนวีเนี่ยนสโตร์ พื้นที่ 160 ตร.ม. คาดว่าสิ้นปีจะมี ทั้งสิ้น 15 สาขา 2.เพรียว บาย บิ๊กซี ร้านจำหน่ายสินค้าเพื่อสุขภาพและความงาม คาดว่าสิ้นปีนี้จะมีทั้งสิ้น 29 สาขา และ 3.บิ๊กซี จูเนียร์ ซูเปอร์มาร์เก็ตขนาด 2,000 ตร.ม. เพิ่งเปิดตัวแห่งแรกที่ทวีกิจ คอมเพล็กซ์ สระบุรี เมื่อกลางปีที่ผ่านมา และมีแผนเปิดเพิ่มอีก 1 แห่ง ที่พังงา
ขณะ ที่ในส่วนพื้นที่เช่าเมื่อรวมกันแล้วจะมีถึง 584,000 ตร.ม. ช่วยสร้างมูลค่าและยกระดับกลยุทธ์ทั้งในแง่ยอดขายสินค้า และการบริหารจัดการศูนย์การค้า ให้มีศักยภาพมากขึ้น และคาดว่าจะมีรายได้รวมถึง 100,000 ล้านบาทสำหรับปีนี้
ผู้ สื่อข่าวรายงานว่า หลังจากคาสิโน กรุ๊ป ผู้ถือหุ้นใหญ่บิ๊กซี ชนะการประมูลซื้อสาขาคาร์ฟูร์ในเมืองไทย เมื่อช่วงเดือนพฤศจิกายนที่ผ่านมา ทำให้เทสโก้ โลตัส ผู้นำตลาดโมเดิร์นเทรด ปรับแผนเพื่อเร่งขยายสาขาให้เร็วขึ้นและมากที่สุดเท่าที่จะทำได้ เพื่อรักษาความเป็นผู้นำตลาดและรักษาส่วนแบ่งตลาดเอาไว้
เท สโก้ โลตัส ได้ประกาศทุ่มงบฯ 7,000 ล้านบาท ในการเปิดสาขาใหม่ และรีโนเวตสาขาเดิม ส่วนสาขาใหม่จะเน้นทั้งสาขาขนาดใหญ่ที่ในแต่ละปีจะเปิดประมาณ 7-8 แห่ง และสาขาขนาดเล็ก โดยเฉพาะโลตัส เอ็กซ์เพรส ที่จะมุ่งไปที่การเปิดตามห้องแถวในชุมชน เนื่องจากเป็นโมเดลที่เปิดได้ง่ายและเร็ว
ควบ คู่กันนี้ เทสโก้ โลตัส ยังหันมาเน้นการเพิ่มยอดขายและมาร์จิ้นของสาขาเดิมโดยเฉพาะไฮเปอร์มาร์เก็ต ด้วยการปรับเพิ่มสินค้าให้มีความหลากหลายมากขึ้น เพื่อรองรับความต้องการของกลุ่มลูกค้าที่มีกำลังซื้อสูง จากปกติที่จะเน้นจับกลุ่มลูกค้าระดับซีหรือซีบวกเป็นหลัก
ปัจจุบัน เทสโก้ โลตัส มีสาขารวมทุกโมเดลประมาณ 680 สาขา เป็นไฮเปอร์มาร์เก็ตประมาณ 110 สาขา เทสโก้ คุ้มค่า 35 สาขา ตลาดโลตัส 75 สาขา และโลตัส เอ็กซ์เพรส ประมาณ 450 สาขา
BIG C ซื้อ CARREFOUR 3.8หมื่นล. 6เดือนลบชื่อ-ไม่ปิดสาขา
ผู้ ถือหุ้นบิ๊กซีอนุมัติกู้เงิน 3.8 หมื่นล้านบาทซื้อคาร์ฟูร์ ดันรายได้แตะ 1.1 แสนล้านบาท ขอเวลา 6 เดือนลบชื่อ ยันไม่ปิดสาขาซ้ำซ้อน
ที่ประชุมผู้ถือหุ้น บมจ.บิ๊กซี ซูเปอร์เซ็นเตอร์ (BIGC) เมื่อ วันที่ 5 ม.ค. ได้มีมติอนุมัติการเข้าซื้อหุ้นบริษัท เซ็นคาร์ มูลค่า 35,450 ล้านบาท จากบริษัท คาร์ฟูร์ เนเดอร์แลนด์ บีวี และบริษัท มิลดิว บีวี ด้วยคะแนนเสียง 732 ล้านหุ้น คิดเป็น 97% ของจำนวนหุ้นเข้าร่วมประชุม 751 ล้านหุ้น หรือ 100% และผู้ถือหุ้นยังอนุมัติการขอวงเงินกู้ 3.8 หมื่นล้านบาท รองรับการซื้อกิจการคาร์ฟูร์ วงเงิน 3.54 หมื่นล้านบาท ส่วนที่เหลือจะนำไปใช้ลงทุนขยายสาขาที่จำเป็นเพิ่มเติม
น.ส.รำภา คำหอมรื่น ประธานเจ้าหน้าที่บริหารฝ่ายการเงิน และรองประธานฝ่ายบัญชีและการเงิน BIGC ได้ ชี้แจงต่อผู้ถือหุ้นว่า ปัจจุบันบิ๊กซีมีรายได้จำนวน 7 หมื่นล้านบาท เมื่อรวมคาร์ฟูร์เข้ามาจะทำให้ทั้งปีเพิ่มเป็น 1.1 แสนล้านบาท หรือโตมากกว่าระดับปัจจุบัน 40% และในปีแรกของการรวมคาร์ฟูร์เข้ามา จะทำให้อัตรากำไรสุทธิต่อหุ้นของบิ๊กซีโตจากระดับปกติอีก 5% และจะเพิ่มเป็น 20% ในปีที่ 3 ของการรวมกิจการ เพราะการจะสร้างประโยชน์เพิ่ม (synergy) นั้นต้องใช้ระยะเวลาประมาณ 3 ปีจึงจะเห็นผลเต็มที่
นอกจากนี้การรวมคาร์ฟูร์เข้ามาจะทำให้ฐานลูกค้าของบิ๊กซีครอบคลุมตั้งแต่ระดับ A ถึง C เพราะปัจจุบันฐานลูกค้าของบิ๊กซีจะเป็นกลุ่ม C มีสาขาอยู่ในรอบปริมณฑล ต่างจากคาร์ฟูร์มีสาขาอยู่ในใจกลางกรุงเทพฯ และฐานลูกค้ามีอำนาจซื้อสูงระดับ A ถึง B เมื่อรวมกันจะเอื้อต่อการสร้างการเติบโตให้กับบริษัทได้
สำหรับ แหล่งเงินในการซื้อหุ้นจะมาจากการกู้ ซึ่งอยู่ระหว่างการพิจารณาจากสถาบันการเงินทั้งในและต่างประเทศ คาดว่าอัตราดอกเบี้ยอยู่ที่ประมาณ 4.5% หรืออาจจะต่ำกว่า และเชื่อว่าจะสามารถคืนเงินได้ภายใน 5 ปีนับจากนี้ เนื่องจากบริษัทมีความแข็งแกร่งทางด้านเงินทุน
ส่วน สาขาที่ซ้ำซ้อนกันระหว่างบิ๊กซีและคาร์ฟูร์จะไม่มีการปิดสาขาซ้ำซ้อน เนื่องจากมีกลุ่มลูกค้าแตกต่างกัน โดยบริษัทจะใช้เวลาในการเปลี่ยนป้ายมาเป็นบิ๊กซี 6-12 เดือนนับจากนี้

BIG C SURGES TO A RECORD AFTER ANNOUNCING ACQUISITION OF CARREFOUR STORES
Big C Supercenter Pcl, Thailand’s second-biggest hypermarket operator, rose to a record in Bangkok trading after agreeing to buy Carrefour SA’s Thai stores for 35.5 billion baht ($1.18 billion).
The shares rose as much as 13 percent to 88 baht and traded at 79.25 baht as of 10:56 a.m. local time, set for a record close. Thailand’s benchmark SET Index slipped 0.2 percent.
Casino Guichard-Perrachon SA, which controls Big C, yesterday agreed to buy the 42 Thai stores owned by its French rival Carrefour, adding to the 111 that already operate under the Big C brand in Southeast Asia’s second-biggest economy.
“More stores will enhance competitive advantages and increase negotiation power with suppliers coupled with economies of scale,” Kim Eng Securities (Thailand) Pcl analyst Suttatip Peerasubwrote in a note today. “This acquisition allows Big C to possess some prime locations and licenses of operation.”
The acquisition of Carrefour’s 34 superstores and eight supermarkets in Thailand will generate so-called synergies equivalent to about 1.2 percent of the combined 2010 estimated sales, Casinosaid yesterday. These include improved purchasing terms, rationalized distribution and higher efficiency in the greater Bangkok area, where Big C’s presence will more than double, the company said.
Carrefour’s Thai business may generate sales of 734 million euros ($1 billion) in 2010, Casino said. Big C’s sales may reach 1.8 billion euros in 2010, Casino’s Chief Financial Officer Antoine Giscard D’Estaing said.
Paying Too Much?
Big C said the acquisition will be financed from existing cash and debt.
“Big C is paying too much for Carrefour,” Bualuang Securities Pcl analyst Chaiyatorn Sricharoen wrote in a note to clients today. “Although management claims that the acquisition price is comparable to precedent transactions in Asia, we don’t believe Big C needs either know-how or branding from Carrefour, so it doesn’t make any sense to pay a comparable price. The company could generate a much higher return with this money.”
The Carrefour stores complement the geographical spread of Big C’s own shopping centers, the company said yesterday. The acquisition will add to Big C’s earnings as of 2011, and the synergies will be fully implemented by 2013, it said.

Big C begins overhaul Carrefour name goes but products will stay

Big C Supercenter Plc has begun the transformation of the Carrefour outlets it purchased last year from the French retail chain, starting with a 350-million-baht re-imaging exercise.
The company has no plan to close any of the 42 Carrefour stores because many are located in strategic central Bangkok locations that would augment the network of Big C, whose major stores are located in suburban areas and the provinces, said Rumpa Kumhomreun, chief financial officer and vice-president for accounting and finance.
As well, she said, Carrefour customers generally had higher purchasing power than those who traditionally shopped at Big C. Consequently, the signs on the former rival's stores will change to Big C but the merchandise inside will remain the same as before.
The company expects all the new signs to be in place in six to 12 months but says the complete transformation will take three years.
